2023 VFF Annual General Meeting

PUBLIC STATEMENT

Resignation of Auditor – Victorian Farmers Federation & Farrer House Ltd

Members are advised that following on from the Members Resolution passed at the AGM held on 27 February 2023, the auditor of both companies made application to the Australian Securities and Investment Commission (ASIC) to resign.  ASIC has now accepted their resignation.

Outgoing Auditor (both companies): Grant Thornton Audit Pty Ltd, Level 22, Tower 5, Collins Square, 727 Collins Street, Melbourne VIC 3008

Proposed Incoming Auditor (both companies): DFK Kidsons Partnership, Level 6, 30 Collins Street, Melbourne VIC 3000

Reason for the change in auditor: Good governance encourages a change in auditor after the auditor has been in place for several years.  The Board considered that the appropriate time for a change had been reached and VFF Members agreed to the change at the 2023 AGM.

The 44th Annual General Meeting (AGM) of Victorian Farmers Federation (ACN 079 980 304) will be held at Level 3, Farrer House in Melbourne on Monday 27th February 2023 commencing at 11:30am.  This year the VFF is returning to a face-to-face Annual General Meeting

BUSINESS

The business of the VFF Annual General Meeting will be:

  1. Minutes of the 43rd VFF Annual General Meeting held on 23 February 2022
  2. President’s Report
  3. CEO’s Report
  4. Chair of Finance and Audit Committee’s Report
  5. Receive and Consider the 2022 VFF Financial Report
    (Note: there is no requirement for Members to approve the financial report)
  6. Appointment of Auditor for 2023

Proposed Resolution:-

That DFK Kidsons Partnership, having been duly nominated in accordance with Section 328B(1) of the Corporations Act, be appointed as auditor of VFF and its controlled entity for the financial year ending 30 September 2023.

All financial members of the VFF are entitled to attend and vote at the VFF Annual General Meeting.

PARTICIPATING IN THE AGM

Members can attend the AGM at Level 3 Farrer House, 24-28 Collins Street, Melbourne.

Only members or proxyholders attending in person can vote or ask questions during the AGM.  The AGM will also be webcast live.  Any Members that are unable to attend the AGM in person will have the opportunity to watch the live webcast and appoint a proxy to vote on their behalf and submit questions in advance via the email address provided below.

ATTENDANCE

Members will be able to attend the AGM as follows:

  • In person at Farrer House;
  • Live online webcast.

All members wishing to attend must pre-register by no later than 5pm Thursday 23rd February.

To pre-register, please email your first name, surname, preferred attendance option (in person or online) and any prior questions to [email protected]. The VFF will shortly after provide you with information to join the AGM.  

Members are reminded that only members or proxyholders attending in person on the day can vote or ask questions during the AGM. Questions may be asked by those attending online, but must be submitted to the above email address no later than 5pm Thursday 23rd February.

All financial members of the VFF are entitled to attend and vote at the VFF Annual General Meeting.
