RE: Notice of special meeting regarding the dissolution of the VFFIA

In September 2023, members of the Victorian Farmers Federation Industrial Association (VFFIA) resolved to approve the dissolution of the VFFIA at two special meetings convened for that purpose in accordance with the Victorian Farmers Federation Industrial Association Rules (Rules).  At the second of those special meetings, members of the VFFIA also resolved to delegate to Nathan Free, President of VFFIA, all activities necessary to give effect to the dissolution of the VFFIA.

Following the special meetings, upon application by the VFFIA, the Fair Work Commission cancelled the registration of the VFFIA as a registered organisation with effect from 9 February 2024.

This letter gives notice of a final special meeting for the purpose of finalising the dissolution of the VFFIA in accordance with the Rules.  The business to be conduct at this special meeting will include tabling of the audited statement of distribution and the disposition of the VFFIA’s books and records by ordinary resolution in the form at Annexure A. SPECIAL MEETING – RESOLUTION

VICTORIAN FARMERS FEDERATION INDUSTRIAL ASSOCIATION
(hereinafter “the VFFIA”)

RESOLUTION OF MEMBERS
Victorian Farmers Federation Industrial Association Rules – rule 39

(1)        BACKGROUND

(a)        In September 2023, members of the Victorian Farmers Federation Industrial Association (VFFIA) resolved to approve the dissolution of the VFFIA at two special meetings convened for that purpose in accordance with the Victorian Farmers Federation Industrial Association Rules (Rules).  At the second of those special meetings, members of the VFFIA also resolved to delegate to Nathan Free, President of VFFIA, all activities necessary to give effect to the dissolution of the VFFIA.

(b)        Following the special meetings, upon application by the VFFIA, the Fair Work Commission cancelled the registration of the VFFIA as a registered organisation under the Fair Work (Registered Organisations) Act 2009 (Cth) with effect from 9 February 2024.

(c)        The Victorian Farmers Federation (VFF) has a history of providing support to the VFFIA, including by the maintenance of books and records in the custody of the VFFIA. Having regard to this history, by letter dated 18 March 2024, the VFF offered to take custody of all books and records of the VFFIA for a period of time following the dissolution.

(d)        On 18 March 2024, the VFFIA notified members of a final special meeting on 15 April 2024 at 11:00am for the purpose of finalising the dissolution of the VFFIA in accordance with the Rules.

(2)        RESOLUTION

The members of the VFFIA present and voting resolve as follows:

(a)        To INSTRUCT the VFFIA to grant custody to the VFF of all books and records of the VFFIA and maintain such custody for the period specified in Rule 32.7 of the Rules after which time they will be confidentiality destroyed by the VFF (subject to the Evidence Act 1958 and any other applicable law).
